Introduction

Welcome to PixoraHub.com. These Terms of Service ("Terms") govern your access to and use of the PixoraHub website, applications, and services (collectively, the "Platform"). PixoraHub is a next-generation microstock marketplace designed to connect talented creatives (photographers, videographers, designers, illustrators) with individuals and businesses seeking high-quality, royalty-free digital assets.

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and Cookie Policy. If you do not agree with any part of these Terms, you must not use the Platform.

These Terms are legally binding and govern your rights and obligations when using PixoraHub, whether as a buyer or a contributor. We operate globally from our base in Mozambique, and these Terms are designed to provide a fair and legally sound framework for all our users worldwide.

1. Definitions

• Platform: Refers to the PixoraHub.com website, applications, and any associated services.

• User(s): Anyone who accesses or uses the Platform, including Contributors and Buyers.

• Contributor(s): An individual or entity who uploads Content to the Platform for licensing.
•  
• Buyer(s): An individual or entity who licenses Content from the Platform.
•  
• Content: Refers to all digital assets available on the Platform, including but not limited to photos, videos, vectors, graphics, templates, audio, and 3D assets.

• Royalty-Free License: A license granted by PixoraHub to a Buyer, allowing broad, perpetual, and non-exclusive use of Content without the need for recurring royalty payments, subject to specific terms outlined herein.

2. Acceptance of Terms

By creating an account, uploading Content, licensing Content, or otherwise using the Platform, you confirm that you are at least 18 years of age or the age of majority in your jurisdiction, are legally capable of entering into a binding contract, and agree to comply with and be bound by these Terms. If you are using the Platform on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these Terms.

3. User Accounts

3.1. Account Registration

To access certain features of the Platform, you must register for an account. You agree to:

• Provide accurate, current, and complete information during the registration process.
• Maintain and promptly update your account information to keep it accurate, current, and complete.

3.2. Account Security

You are solely responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify PixoraHub immediately of any unauthorized use of your account or any other breach of security. PixoraHub cannot and will not be liable for any loss or damage arising from your failure to comply with this security obligation.

3.3. Account Termination by User

You may terminate your account at any time by contacting support@pixorahub.com. Please refer to our Content Submission Agreement for Contributors regarding the removal of your Content upon account termination.

3.4. Account Suspension or Termination by PixoraHub

PixoraHub reserves the right to suspend or terminate your account and access to the Platform, at its sole discretion, for any reason, including but not limited to:

• Violation of these Terms.
• Suspected fraudulent, abusive, or illegal activity.
• Non-payment of fees.
• Violation of third-party intellectual property rights.

4. For Contributors: Content Submission and Licensing

4.1. Content Ownership and Rights

By submitting Content to PixoraHub, you represent and warrant that:

• You are the sole owner of the Content or have all necessary rights, licenses, and permissions to grant the licenses hereunder.
• The Content does not infringe upon the intellectual property rights, privacy rights, or any other rights of any third party.

• The Content complies with all applicable laws and regulations.
• You have obtained all necessary model and property releases for any recognizable persons or private property depicted in your Content.

4.2. Grant of License to PixoraHub

You grant PixoraHub a worldwide, non-exclusive, sublicensable, royalty-free license to:

• Use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and display your Content on the Platform.
• Use your Content for promotional and marketing purposes of PixoraHub and the Platform.
• Sublicense your Content to Buyers under the Royalty-Free Licenses described in Section 4.3.

4.3. Grant of Royalty-Free License to Buyers

When your Content is accepted and made available on PixoraHub, you grant Buyers a worldwide, perpetual, non-exclusive, non-transferable, and non-sublicensable Royalty-Free License to use, reproduce, modify (to fit specific needs), publicly perform, and display the Content, subject to the terms and restrictions outlined in Section 5 (For Buyers).

4.4. Earnings and Payouts

• Royalty Rates: Contributors will earn a percentage of the license fees generated from downloads of their Content, as specified in your Contributor Agreement or dashboard. Royalty rates are subject to change by PixoraHub with prior notice.

• Payout Thresholds and Methods: Earnings will be accumulated, and payouts will be processed once a minimum threshold (e.g., $50 USD) is reached. Payout methods will be made available as specified in your Contributor dashboard (e.g., PayPal, bank transfer).

• Taxes: Contributors are solely responsible for any and all taxes associated with earnings from their Content, in accordance with the laws of their jurisdiction. PixoraHub will provide necessary tax forms where legally required.

4.5. Content Moderation and Removal

PixoraHub reserves the right, but is not obligated, to review, pre-screen, refuse, or remove any Content from the Platform at its sole discretion, including Content that violates these Terms or is deemed inappropriate, illegal, or infringes on third-party rights.

5. For Buyers: Content Licensing and Use

5.1. Royalty-Free License

When you license Content from PixoraHub, you are granted a worldwide, perpetual, non-exclusive, non-transferable Royalty-Free License to use the Content for a wide range of creative projects, including:

• Websites, blogs, social media posts.
• Advertisements and marketing materials.
• Presentations, reports, and internal documents.
• Editorial use in magazines, newspapers, and online publications.
• Digital and print products where the Content is integrated into a larger design.

5.2. Prohibited Uses

Unless an Extended License (if available) explicitly permits, you may not use Content for:

• Redistribution, resale, sublicensing, or transfer of the Content as a standalone file.
• Use in a logo, trademark, or service mark.
•  
• Use in a way that suggests endorsement by models or properties if no model/property release is available or implies a defamatory, offensive, or illegal context.
• Use in pornographic, defamatory, or otherwise illegal materials.
• Use in "print-on-demand" products (e.g., t-shirts, mugs, posters) or other merchandise where the Content forms the primary value of the product.
• Using automated tools or software to download Content without proper licensing.

5.3. No Ownership of Content

You acknowledge that you do not acquire any ownership rights to the Content by licensing it. All intellectual property rights in the Content remain with the respective Contributors and PixoraHub.

5.4. Refunds and Cancellations

All sales of Content are final. Refunds will only be issued in cases where the Content is technically defective or if there is a demonstrated licensing error on the part of PixoraHub. Subscription cancellations are subject to the terms of the specific subscription plan.

6. Intellectual Property Rights

6.1. PixoraHub's Intellectual Property

All content, features, and functionality on the Platform, including text, graphics, logos, icons, images, audio clips, video clips, data compilations, and software, are the exclusive property of PixoraHub, its licensors, or other providers of such material and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

6.2. Copyright Infringement (DMCA/Equivalent Policy)

PixoraHub respects the intellectual property rights of others. If you believe that any Content on the Platform infringes your copyright or other intellectual property rights, please notify us immediately at support@pixorahub.com with the following information:

• A description of the copyrighted work or intellectual property that you claim has been infringed.
• A description of where the material that you claim is infringing is located on the Platform.
• Your contact information (name, address, telephone number, and email address).
• A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
• A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

7. Prohibited Conduct

You agree not to use the Platform to:

• Upload, post, or transmit any Content that is illegal, harmful, threatening, abusive, defamatory, obscene, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
• Infringe any patent, trademark, trade secret, copyright, or other proprietary rights of any party.
• Engage in any form of "scraping" or automated data extraction without our express written consent.
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.

• Interfere with or disrupt the Platform or servers or networks connected to the Platform.
• Attempt to gain unauthorized access to any portion of the Platform, other accounts, computer systems, or networks connected to PixoraHub.
• Use the Platform for any unlawful purpose or in violation of any local, state, national, or international law.

8. Disclaimers

THE PLATFORM AND ALL CONTENT ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR AVAILABILITY. PIXORAHUB DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE PLATFORM OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PIXORAHUB, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM; (III) ANY CONTENT OBTAINED FROM THE PLATFORM; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

10. Indemnification

You agree to indemnify, defend, and hold harmless PixoraHub, its affiliates, officers, directors, employees, agents, licensors, and partners from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Platform, your Content, or your violation of any rights of a third party.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Mozambique, without regard to its conflict of law principles.

Any dispute, controversy, or claim arising out of or in connection with these Terms, including their existence, validity, or termination, shall be resolved by arbitration in accordance with the rules of the Arbitration, Conciliation and Mediation Centre of Mozambique (CACM), or if applicable, through the courts of Mozambique. The language of the arbitration shall be Portuguese.

12. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Platform after those revisions become effective, you agree to be bound by the revised terms.

13. General Provisions

• Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

• Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and PixoraHub regarding your use of the Platform.

• Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without PixoraHub’s prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and void. PixoraHub may freely assign or transfer these Terms without restriction.
