Affiliate Program Terms

This Affiliate Program Terms document ("Agreement") sets forth the legally binding terms and conditions for participation in the PixoraHub.com ("PixoraHub" or "Platform") Affiliate Program. By applying to and participating in the PixoraHub Affiliate Program ("Program"), you ("Affiliate," "You," or "Your") agree to abide by this Agreement, the PixoraHub Terms of Service, and all other applicable PixoraHub policies. This Program is designed to reward individuals and businesses who help us expand our global reach, connecting talented creatives with businesses worldwide, all while operating from our base in Maputo, Mozambique.

1. Introduction

Welcome to the PixoraHub Affiliate Program! We invite you to partner with us in empowering creatives and businesses globally by promoting PixoraHub's high-quality, royalty-free digital assets. This Agreement outlines your rights and responsibilities as an Affiliate, detailing how commissions are earned and disbursed, and ensuring a transparent and fair partnership for all.

2. Definitions

• Platform: PixoraHub.com website, applications, and any associated services.
• Affiliate: An individual or entity approved by PixoraHub to participate in the Program and promote PixoraHub's services.
• Affiliate Link: A unique URL provided by PixoraHub to the Affiliate, used to track referrals and Qualified Purchases.
• Commission: The percentage or fixed amount payable to the Affiliate for a Qualified Purchase.
• Qualified Purchase: A legitimate purchase of a PixoraHub subscription plan or content license made by a New Customer who has clicked on the Affiliate's valid Affiliate Link and meets all criteria outlined in Section 5.
• New Customer: An individual or entity who has not previously registered an account or made a purchase on PixoraHub.
• Referral Period (Cookie Lifetime): The duration (e.g., 30 days) during which a cookie placed on a New Customer's browser by an Affiliate Link remains valid for tracking a Qualified Purchase.

3. Enrollment in the Program

3.1. Eligibility

To be eligible for the PixoraHub Affiliate Program, you must:

• Be at least 18 years of age or the legal age of majority in your jurisdiction.
• Agree to all terms of this Agreement.
• Not be a current PixoraHub customer (for the purpose of earning commissions on your own purchases).
• Have a website, blog, social media presence, or other legitimate platform consistent with PixoraHub's brand image and values.

3.2. Application Process

You must complete the official Affiliate Program application form on the PixoraHub Platform. All information provided must be accurate, complete, and truthful.

3.3. Application Review and Approval

PixoraHub will review your application and reserves the right to approve or reject any application at its sole discretion. We may reject applications for reasons including, but not limited to, websites promoting illegal activities, offensive content, or those deemed inconsistent with PixoraHub's brand. Our decision is final.

4. Affiliate Responsibilities

4.1. Ethical Conduct

As an Affiliate, you agree to promote PixoraHub ethically and professionally. This includes:

• Honesty: Representing PixoraHub accurately and transparently.

• Transparency: Clearly disclosing your affiliate relationship to your audience (e.g., "As a PixoraHub Affiliate, I may earn a commission on qualifying purchases."). This is a critical requirement for compliance with consumer protection laws globally.

• Compliance: Adhering to all applicable laws and regulations in your jurisdiction and the jurisdictions where you promote PixoraHub, including but not limited to consumer protection laws, advertising standards, and data privacy regulations (e.g., GDPR, CCPA).

4.2. Prohibited Activities

The following activities are strictly prohibited and may result in immediate termination from the Program and forfeiture of all accrued commissions:

• Spamming: Sending unsolicited emails or messages, or engaging in any form of spamming.

• Misleading Claims: Making false, misleading, or deceptive claims about PixoraHub, its services, pricing, or content.
•  
• Trademark Infringement: Using PixoraHub's trademarks, logos, or brand assets in a manner that implies ownership, endorsement, or partnership beyond what is explicitly granted in this Agreement. Do not bid on PixoraHub's brand name keywords in PPC campaigns.

• Self-Referrals/Self-Purchases: Using your own Affiliate Link to make purchases for yourself or for businesses you own or operate.
•  
• Cookie Stuffing/Forced Clicks: Employing any unethical or artificial methods to generate clicks or sales.
•  
• Illegal Activities: Promoting PixoraHub on websites or platforms that engage in illegal activities, hate speech, violence, or explicit content.
•  
• Coupon Code Misuse: If you operate a coupon site, you may only use codes explicitly provided to you by PixoraHub for the Affiliate Program.

• Software/Toolbar Installation: Inducing users to install software, toolbars, or browser extensions without their express consent.

4.3. Use of Marketing Materials and Brand Assets

PixoraHub may provide Affiliates with marketing materials, banners, and brand guidelines. You agree to:

• Use only the approved marketing materials and comply with all brand guidelines.
• Not modify PixoraHub's logos, trademarks, or marketing materials without prior written consent.

5. Tracking and Commissions

5.1. Tracking Mechanism

PixoraHub uses cookies to track referrals. When a user clicks on your unique Affiliate Link, a cookie is placed on their browser. If the user makes a Qualified Purchase within the Referral Period, you will be credited with the commission.

5.2. Attribution Model

Commissions are typically attributed on a "last click" basis. This means if a user clicks on multiple affiliate links from different sources, the last Affiliate Link clicked before the Qualified Purchase will receive the commission.

5.3. Commission Rates

Commission rates will be specified within your Affiliate dashboard or in a separate commission schedule provided by PixoraHub. PixoraHub reserves the right to modify commission rates at any time with prior notice.

5.4. Qualified Purchase Definition

A "Qualified Purchase" is a purchase made by a New Customer who:

• Clicks on your valid Affiliate Link.
• Completes a purchase of an eligible PixoraHub subscription plan or content license.
• Does not cancel the subscription or request a refund within PixoraHub's refund period.
• Is not found to be engaged in fraudulent activity.

5.5. Exclusions

No commissions will be paid for:

• Purchases that are later refunded or subject to a chargeback.
• Purchases made after the Referral Period expires.
• Purchases where the Affiliate Link was not used or properly tracked.
• Purchases where the customer was already an existing PixoraHub user.
• Self-purchases or purchases made by immediate family members.
• Purchases generated through prohibited activities.

6. Payments

6.1. Minimum Payout Threshold

Commissions will only be paid once your accrued earnings reach a minimum payout threshold (e.g., USD 10.00). If your balance is below this threshold, earnings will roll over to the next payment period.

6.2. Payment Frequency

Payments to Affiliates are processed on a monthly basis, typically within [e.g., 30-45] days after the close of the previous calendar month, to allow for verification, processing, and accounting for refunds/chargebacks.

6.3. Payment Methods

Payments will be made via the payment methods available in your Affiliate dashboard (e.g., PayPal, Stripe, bank transfer). You are responsible for ensuring your payment details are accurate and up-to-date. Any fees charged by payment processors are the responsibility of the Affiliate and will be deducted from the payout amount.

6.4. Taxes

You are solely responsible for determining and remitting any and all taxes, duties, or other governmental assessments associated with the commissions earned from the Program, in accordance with the tax laws of your country of residence and any other applicable jurisdiction. PixoraHub is not responsible for advising you on tax matters or for withholding taxes unless legally required to do so. You agree to provide PixoraHub with any necessary tax identification information as required by law.

7. Intellectual Property and Brand Assets

7.1. Grant of Limited License

PixoraHub grants you a non-exclusive, non-transferable, revocable, limited license to use PixoraHub's trademarks, logos, and promotional materials solely for the purpose of promoting PixoraHub under this Program, in accordance with our brand guidelines.

7.2. Restrictions

You agree not to modify or alter any of PixoraHub's intellectual property. You acknowledge that you have no ownership rights in PixoraHub's intellectual property. All goodwill generated from the use of PixoraHub's trademarks will inure to PixoraHub's sole benefit.

8. Term and Termination

8.1. Term

This Agreement commences upon your acceptance into the Program and continues until terminated by either party.

8.2. Termination by PixoraHub

PixoraHub may terminate this Agreement and your participation in the Program immediately, with or without cause, at any time. Grounds for termination include, but are not limited to, breach of this Agreement, engagement in prohibited activities, or any activity deemed harmful to PixoraHub's brand or business.

8.3. Termination by Affiliate

You may terminate this Agreement at any time by notifying PixoraHub in writing (via email to support@pixorahub.com).

8.4. Effect of Termination

Upon termination:

• You must immediately cease all use of PixoraHub's Affiliate Links and promotional materials.
• You forfeit all rights to unpaid commissions earned through prohibited activities or after the termination date.
• Any legitimate commissions earned prior to termination and below the payout threshold may be forfeited if not explicitly paid out after a grace period.

9. Disclaimer of Warranty and Limitation of Liability

The PixoraHub Affiliate Program and its services are provided "as is" and "as available," without any warranties of any kind, express or implied. PixoraHub does not guarantee that the Program will be uninterrupted, error-free, or that the tracking will always be accurate.

To the fullest extent permitted by law, PixoraHub shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your participation in the Affiliate Program.

10. Indemnification

You agree to indemnify, defend, and hold harmless PixoraHub, its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your participation in the Affiliate Program, including but not limited to:

• Your breach of any term of this Agreement.
• Your violation of any applicable law or regulation.
• Any claim arising from your website, content, or promotional activities.

11. Confidentiality

You may be given access to certain non-public information relating to PixoraHub's business, finances, or technology. You agree to keep such information strictly confidential and not to disclose it to any third party.

12. Relationship of Parties

You and PixoraHub are independent contractors. Nothing in this Agreement shall be construed to create a partnership, joint venture, employment, or agency relationship between you and PixoraHub. You have no authority to make any statements or representations on behalf of PixoraHub.

13. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Mozambique, without regard to its conflict of law principles. You agree that any legal action or proceeding arising out of or related to this Agreement shall be brought exclusively in the courts located in Maputo, Mozambique.

14. Amendments

PixoraHub reserves the right to modify this Affiliate Program Terms Agreement at any time. We will notify you of any material changes by posting the updated Agreement on our Platform or by email. Your continued participation in the Program after such modifications constitutes your acceptance of the revised Agreement.
