This Contributor Agreement Policy ("Agreement") outlines the terms and conditions governing your submission of digital content ("Content") to PixoraHub.com ("PixoraHub" or "Platform"). By submitting Content to PixoraHub, you ("Contributor," "You," or "Your") agree to be bound by the terms of this Agreement, the PixoraHub Terms of Service, and our Privacy Policy. This Agreement is a legally binding contract between You and PixoraHub, a next-generation Microstock Marketplace dedicated to empowering creatives and businesses globally.
1. Introduction
This document sets forth the comprehensive terms under which you, as a talented photographer, videographer, designer, or illustrator, can contribute your high-quality digital assets to PixoraHub.com. Our aim is to ensure a transparent and fair process for the submission, licensing, and monetization of your creative work through our platform, which operates from Mozambique but serves a global audience.
2. Parties to the Agreement
3. Contributor Account
3.1. Account Creation and Eligibility
To become a Contributor, you must create a PixoraHub account and agree to our Terms of Service. You must be at least 18 years of age or the legal age of majority in your jurisdiction. You represent and warrant that all information provided during registration is accurate, complete, and current.
3.2. Account Responsibilities
You are solely responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account. You agree to notify PixoraHub immediately of any unauthorized use of your account.
4. Content Submission
4.1. Accepted Content Types
PixoraHub accepts various types of digital content, including but not limited to: photos, videos, vectors, graphics, templates, audio, and 3D assets.
4.2. Quality and Technical Standards
All Content submitted must adhere to PixoraHub's technical and quality standards, as specified in our Contributor Guidelines (which may be updated periodically). Content that does not meet these standards may be rejected.
4.3. Originality and Ownership
You represent and warrant that all Content you submit is your original work, that you are the sole and exclusive owner of all rights, title, and interest in and to the Content, or that you have all necessary rights, licenses, consents, and permissions to submit the Content to PixoraHub and to grant the licenses hereunder.
4.4. Representations and Warranties
By submitting Content, you expressly represent and warrant that:

Content that depicts or promotes illegal activities, hate speech, violence, explicit pornography, or infringes on any third-party rights (including intellectual property and privacy) is strictly prohibited. PixoraHub reserves the right to determine, at its sole discretion, what constitutes prohibited content.
4.6. Submission Process
You agree to follow PixoraHub's established submission process, including providing accurate keywords, descriptions, and categories for each Content file to ensure proper discoverability and indexing.
5. Content Review and Acceptance
PixoraHub reserves the right, but is not obligated, to review, approve, or reject any submitted Content at its sole discretion for any reason, including but not limited to quality, technical specifications, legal compliance, or market demand. Rejection of Content does not imply any fault on the part of the Contributor.
6. Licensing of Content
6.1. Grant of License to PixoraHub
Upon acceptance of your Content, you grant to PixoraHub a worldwide, non-exclusive, transferable, sub-licensable, royalty-bearing right and license to use, reproduce, distribute, display, publicly perform, adapt, modify, and create derivative works of the Content for the purpose of operating, promoting, and marketing the PixoraHub Platform and for sub-licensing the Content to users.
6.2. Grant of Sub-License to Users
You authorize PixoraHub to grant licenses to its users (licensees) to use the Content through PixoraHub's standard licensing agreements (e.g., Royalty-Free License). These licenses will typically allow users to use the Content in various projects without additional fees per use, subject to the terms and limitations of PixoraHub's user license agreements. You acknowledge that PixoraHub may offer different types of licenses to its users, and you agree to allow your Content to be licensed under these various terms.
6.3. Royalty-Free and Worldwide Nature
You understand and agree that the licenses granted to PixoraHub users are generally royalty-free (meaning users do not pay a per-use royalty to you) and are worldwide, perpetual, and irrevocable once granted to a user.
6.4. Non-Exclusivity
Unless expressly agreed otherwise in writing (e.g., for specific exclusive content programs), your contribution of Content to PixoraHub is on a non-exclusive basis. This means you are free to license your Content to other platforms or directly to third parties, provided such licensing does not conflict with the terms of this Agreement or the licenses granted to PixoraHub and its users.
7. Royalties and Payments
7.1. Royalty Structure
For each successful license of your Content by a PixoraHub user, you will receive a percentage of the net revenue generated by that license, as determined by PixoraHub's current Contributor Royalty Schedule. This schedule may be updated by PixoraHub from time to time, and any changes will be communicated to Contributors.
7.2. Payment Terms
Royalties earned will accrue in your Contributor account. Payments will be processed on a [e.g., monthly/quarterly] basis, typically within [e.g., 30-45] days after the end of the payment period. PixoraHub reserves the right to set a minimum payout threshold, below which earnings will roll over to the next payment period.
7.3. Payment Methods
Payments will be made via [e.g., specific payment processors like PayPal, bank transfer, etc.], as chosen by the Contributor from the available options. The Contributor is responsible for any fees associated with the chosen payment method.
7.4. Taxes
You are solely responsible for determining and remitting any and all taxes, duties, or other governmental assessments associated with the royalties earned from your Content. PixoraHub is not responsible for advising you on tax matters.
8. Intellectual Property Rights
You retain all copyright and other intellectual property rights in and to the Content you submit, subject to the licenses granted to PixoraHub and its users under this Agreement. PixoraHub acknowledges your ownership of the Content.
9. Model and Property Releases
For any Content depicting identifiable persons or private property, you must obtain and securely store valid and legally enforceable model and/or property releases. You agree to provide these releases to PixoraHub upon request and acknowledge that failure to do so may result in the rejection or removal of your Content and potential liability.
10. Content Removal/Withdrawal
10.1. Contributor Withdrawal
You may request to withdraw your Content from PixoraHub at any time. Upon receiving such a request, PixoraHub will endeavor to remove the Content from public display and future licensing opportunities within a reasonable timeframe. However, Content already licensed to users prior to withdrawal will remain subject to the terms of the licenses granted.
10.2. PixoraHub's Right to Remove
PixoraHub reserves the right to remove any Content from the Platform at its sole discretion, for any reason, including but not limited to:
11. Representations, Warranties, and Indemnification
11.1. Contributor Warranties
You warrant that you have the full right, power, and authority to enter into this Agreement and to grant the rights and licenses herein. You also warrant that your Content and PixoraHub's use and licensing thereof will not violate any third-party rights or applicable laws.
11.2. Indemnification
You agree to indemnify, defend, and hold harmless PixoraHub, its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

You agree to keep confidential any non-public information about PixoraHub's business, operations, or technology that you may obtain through your relationship with PixoraHub.
13. Term and Termination
This Agreement commences upon your acceptance and submission of Content and remains in effect until terminated by either party. PixoraHub may terminate this Agreement at any time for any reason with prior notice. You may terminate this Agreement by ceasing all Content submissions and requesting account closure. Termination does not affect existing licenses granted to users.
14. Dispute Resolution and Governing Law
14.1. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Republic of Mozambique, without regard to its conflict of law principles.
14.2. Jurisdiction
You agree that any legal action or proceeding arising out of or related to this Agreement shall be brought exclusively in the courts located in Maputo, Mozambique.
15. General Provisions
15.1. Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
15.2. Entire Agreement
This Agreement, together with the PixoraHub Terms of Service and Privacy Policy, constitutes the entire agreement between you and PixoraHub concerning its subject matter.
15.3. Assignment
You may not assign or transfer your rights or obligations under this Agreement without the prior written consent of PixoraHub. PixoraHub may assign its rights and obligations without your consent.
15.4. Amendments
PixoraHub reserves the right to modify this Agreement at any time. We will notify you of any material changes by posting the updated Agreement on our Platform or by email. Your continued submission of Content after such modifications constitutes your acceptance of the revised Agreement.
