Licensing Agreement

This Licensing Agreement Policy ("Agreement") governs the terms and conditions under which users ("Buyer," "Licensee," "You," or "Your") may license and use digital content ("Content") from PixoraHub.com ("PixoraHub" or "Platform"). By downloading or licensing any Content from PixoraHub, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement, the PixoraHub Terms of Service, and our Privacy Policy. This Agreement is a legally binding contract between You and PixoraHub, a next-generation Microstock Marketplace committed to empowering creatives and businesses globally.

1. Introduction

This document details the rights and obligations associated with licensing Content from PixoraHub.com. Our goal is to provide a clear, fair, and legally robust framework for the use of high-quality, royalty-free digital assets by marketers, publishers, and creators worldwide. While our operations are based in Mozambique, this policy is crafted to accommodate our global user base and adhere to international legal best practices.

2. Definitions

• Platform: Refers to the PixoraHub.com website, applications, and any associated services.

• Content: All digital assets available for licensing on PixoraHub, including but not limited to photos, videos, vectors, graphics, templates, audio, and 3D assets.

• Contributor: The individual or entity who submitted the Content to PixoraHub.
•  
• Licensee (You/Buyer): The individual or entity who licenses Content from the Platform.
•  
• License: The non-exclusive, worldwide, perpetual, and royalty-free right granted by PixoraHub to the Licensee to use, reproduce, modify, display, and perform the Content as permitted by this Agreement.

• Royalty-Free (RF): Pertains to a license where the Licensee pays a one-time fee to use the Content multiple times in various projects, without incurring additional per-use royalty fees to the Contributor.

3. Grant of License

Upon successful payment of the applicable fees (or valid subscription), PixoraHub grants You a non-exclusive, worldwide, perpetual, non-transferable, and non-sublicensable License to use the Content for the Permitted Uses specified in Section 4.

Key characteristics of this License:

• Non-Exclusive: You do not have exclusive rights to use the Content. Other PixoraHub users may also license the same Content.

• Worldwide: You may use the Content globally, without territorial restrictions.
• Perpetual: Once licensed, your right to use the Content is ongoing, without an expiration date, subject to the terms of this Agreement.

• Royalty-Free: You pay a one-time fee for the License, and no further royalty payments are required for its use in Permitted Uses.
•  
• Non-Transferable: You may not transfer or assign this License to any third party.
•  
• Non-Sublicensable: You may not sublicense the Content to any third party.

4. Permitted Uses

Subject to the Prohibited Uses in Section 5, you may use the Content in the following ways ("Permitted Uses"):

• Digital Use:

  • On websites, blogs, social media posts (Facebook, Instagram, X (Twitter), LinkedIn, etc.), and other online platforms.
  • In online advertisements, banners, and digital marketing campaigns.
  • In mobile and desktop applications, provided the Content is not the primary value of the app.
  • In digital presentations (e.g., PowerPoint, Google Slides, Keynote).
  • In editorial contexts for online publications, e-books, and digital magazines.
  • As part of UI/UX designs for digital products.

• Print Use:
  • In physical advertisements, brochures, flyers, posters, and direct mail campaigns.
  • In corporate documents, reports, and internal communications.
  • In magazines, newspapers, books, and other print publications (editorial or advertising).
  • For decorative purposes in physical spaces (e.g., office decor, wall art), provided it's not for resale.

• Video and Audio Use:

  • In films, documentaries, TV programs, and online videos (e.g., YouTube, Vimeo).
  • In commercials and promotional videos.
  • In multimedia presentations.
  • Audio Content may be used as background music or sound effects in video projects.

• Modification:

  • You may crop, resize, rotate, enhance, and otherwise modify the Content to fit your specific project needs. However, you may not use Content in a way that is defamatory, obscene, or illegal.

5. Prohibited Uses

You may not use the Content in any of the following ways ("Prohibited Uses"):

• Resale or Redistribution: You may not sell, sublicense, distribute, share, lease, lend, or otherwise transfer the Content (or any derivative work of the Content) as a standalone file or as the primary value of a product or service. This includes distributing Content as stock, wallpapers, clip art, or elements for design templates for resale.

• Print-on-Demand Products: You may not use the Content on merchandise for resale, such as t-shirts, mugs, calendars, posters, art prints, phone cases, or any other physical product where the Content is the dominant or primary element.

• Logos, Trademarks, or Service Marks: You may not use Content (in whole or in part) as a trademark, logo, service mark, or any part thereof, as this would imply exclusive rights to the Content.
•  
• Defamatory, Obscene, or Illegal Use: You may not use the Content in a manner that is defamatory, libelous, pornographic, obscene, or illegal.

• False Representation of Authorship: You may not falsely represent that you are the original creator of the Content.
•  
• Sensitive Use without Model/Property Release: For Content depicting identifiable persons or private property, you may not use it in a manner that suggests endorsement of a product or service, or in a sensitive context (e.g., related to mental health issues, crime, sexually explicit activities, or other potentially controversial topics) without a valid model or property release explicitly permitting such use, even if such a release exists for other purposes.

• Competitive Use: You may not use the Content in a way that is directly competitive with PixoraHub's business.
•  
• Automated Downloads: You may not use automated tools, software, or systems to download or scrape Content from the Platform without explicit written permission from PixoraHub.

• Facial Recognition: You may not use Content for any facial recognition technology or for any unlawful purpose.
•  

6. Attribution

While not always legally required for Royalty-Free licenses, providing attribution to PixoraHub and/or the Contributor is highly appreciated and, in some cases (e.g., editorial use or specific Content types), may be required as stated on the Content's download page. Where attribution is required or given, it should typically appear as: "Content by [Contributor's Username/PixoraHub.com]".

7. Disclaimers and Limitations of Liability

• "As Is" Basis: All Content is provided "as is" and "as available," without any warranties of any kind, express or implied. PixoraHub does not warrant that the Content will meet your requirements or that its use will be uninterrupted or error-free.

• No Warranty of Fitness for Purpose: PixoraHub makes no representations or warranties regarding the suitability of the Content for your specific purpose, or that it does not infringe on the rights of any third party (beyond the Contributor's warranties to PixoraHub).

• Limitation of Liability: To the fullest extent permitted by applicable law, PixoraHub and its Contributors shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Content; or (ii) any conduct or content of any third party, including without limitation, any defamatory, offensive, or illegal conduct of other users or third parties.

8. Indemnification by Licensee

You agree to indemnify, defend, and hold harmless PixoraHub, its affiliates, directors, officers, employees, agents, Contributors, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your breach of this Agreement.
• Your unauthorized use or modification of the Content.
• Any claim that your use of the Content infringes or violates the intellectual property rights, privacy rights, or other rights of any third party, where such infringement arises from your Prohibited Use of the Content.

9. Termination of License

Your License to use the Content will automatically terminate without notice from PixoraHub if you breach any term of this Agreement. Upon termination, you must immediately:

• Cease all use of the Content.
• Delete or destroy all copies of the Content in your possession or control.
• Confirm in writing to PixoraHub that you have complied with these requirements. Termination of this License does not entitle you to any refunds.

10. Dispute Resolution and Governing Law

10.1. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Mozambique, without regard to its conflict of law principles.

10.2. Jurisdiction

You agree that any legal action or proceeding arising out of or related to this Agreement shall be brought exclusively in the courts located in Maputo, Mozambique.

11. General Provisions

11.1. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11.2. Entire Agreement

This Agreement, together with the PixoraHub Terms of Service and Privacy Policy, constitutes the entire agreement between you and PixoraHub concerning the licensing of Content.

11.3. Assignment

You may not assign or transfer your rights or obligations under this Agreement without the prior written consent of PixoraHub. PixoraHub may assign its rights and obligations without your consent.

11.4. Amendments

PixoraHub reserves the right to modify this Agreement at any time. We will notify you of any material changes by posting the updated Agreement on our Platform or by email. Your continued use of Content after such modifications constitutes your acceptance of the revised Agreement.
